1. Title The full title of the Association shall be The International Speed Windsurfing Class Association. 2. Objects The objects of the ISWC are to promote and further the interests of the Speed Windsurfing Class throughout the world including: a) To co-ordinate and manage the affairs of the class. b) To make recommendations on the control of the class to the International Sailing Federation (ISAF). c) To encourage and co-ordinate national and international competition in the class. 3. Headquarters The headquarters of the Association shall be determined by the Committee to be most convenient to meet the Committee Executive Secretary requirements. The location shall be established as permanently as possible. The official language shall be English. 4. Membership a) FULL MEMBERSHIP shall upon payment of the prescribed annual subscription be open to any speedsailor. Every member has one vote. b) CORPORATE MEMBERSHIP shall upon payment of the prescribed annual subscription be open to any board builder, sailmaker and other equipment manufacturer interested in the Speed Windsurfing class. c) ASSOCIATED MEMBERSHIPS shall be open to any national Speed Windsurfing Association and Speed Windsurfing Club. d) SUPPORTING MEMBERSHIPS shall upon payment of the prescribed annual subscription be open to any individual or legal entity. e) The Committee may, for any cause which to them seems sufficient, by notice in writing addressed to the Member in question, suspend any Member from his membership for such period as they may direct. 5. Subscriptions a) FULL MEMBERS - The annual subscription shall be decided from time to time at a General Meeting of the Association. It shall be payable on the 1st January each year to the Treasurer. A member joining after 30th October in any year shall not be required to pay any subscription the following year provided that the Treasurer has received payment of the subscription. b) OTHER MEMBERS - The annual subscription shall be decided from time to time at a General meeting of the Association. It shall be payable on the 1st January each year to the Treasurer. There shall be no fee for Associated Members. c) DEFAULTERS - Members whose subscriptions are outstanding on the 1st March shall not be eligible to take part in any Championships held under the direction of the Association. 6. Management a) Committee i. The affairs of the ISWC shall be managed by the Association Committee which shall be the only body with power to make recommendations to the ISAF for changes in the class rules. ii. The Committee shall consist of the following: Chairman, Executive Secretary, and five others. iii. The Committee, except the Chairman and the Executive Secretary, shall retire bi-annually at the AGM but shall be eligible for re-election. The Chairman and the Executive Secretary shall be elected for a period of four years but shall be eligible for re-election. iv. Any elected member of the Committee other than the Chairman and the Executive Secretary may nominate an alternate member who can attend Committee Meetings in his absence. v. The Committee shall have the power to fill any vacancy occurring on the Committee or the Officers of the Association except that of the Chairman. vi. Each Committee member shall have one vote. Decisions shall be reached by a simple majority, and in the event of an equality of votes the Chairman shall have an additional vote. vii. 4 members shall form a quorum. viii. Fourteen days’ notice of Committee Meetings must be given to all Committee members. The notice of the meeting shall include an agenda. ix. The funds of the Association shall be kept in a manner approved by the Committee. b) General Meetings i. The AGM of the ISWC shall be held at a suitable International Championship each year, to conduct class business, the date, time and place being at the Committee’s discretion. Twenty-five members shall form a quorum. ii. Business at the AGM shall comprise: a) Chairmans Report b) Executive Secretary’s Report c) Financial Statement d) Elections e) Any other matters excepting those concerning Class Rules iii. Elections. All nominations must be made in writing to the Executive Secretary, with the agreement of the nominee, and shall be proposed and seconded by 5 full members of the Association. Nominations must be with the Executive Secretary not less than two weeks prior to the meeting. Candidates who are unable to attend the Election Meeting must signify their willingness to stand in writing to the Secretary prior to the meeting. The Officers and Committee members elected at this meeting shall have full powers from the AGM when the incumbent Officers and Committee Members shall retire. iv. A Special General Meeting shall be called by the Executive Secretary at such time as the Committee may resolve. Notice of the meeting shall be given not less than six weeks prior to the meeting. v. At any General Meeting decisions shall be by simple majority except on matters concerning the Speed Windsurfing Class Constitution and her Class Rules. Alterations or amendments to the Constitution as well as to the Class Rules must be carried by two-thirds majority vote. vi. Voting to be by show of hands unless a poll is demanded by not fewer than three of the members present. At General Meetings full may vote. In the event of an equality of votes the Chairman shall have an additional vote. 7. Championship The ISWC shall arrange World, Continental and National Championships of the class as may be required. The ISA Committee may delegate the organisation and running of such championships. 8. National Fleets a) Fleets may be formed by Association Members in any region on application to the ISWC Committee. b) The ISWC Committee shall have the power to approve, disband or amalgamate fleets. c) Fleets may form their own constitution provided that is has been submitted to the ISWC Committee for approval. d) Fleets shall nominate a Secretary of other Office to be responsible for the affairs and conduct of the Fleet to the ISWC Committee. e) Fleets may organise such local sailing and social activities as they find necessary within the objects of the ISWC. f) Fleets may levy a subscription on their membership to cover their operating expenses. g) In special circumstances the ISWC Committee may approve separate fleets for different areas of a country. 9. Notice of Meetings and Votes a) Notice of meetings or ballot papers shall be deemed to be served if emailed (and placed at ISWC Website) to the last known address of the member. b) Non-receipt of notices or ballot papers by members, or postal votes by the auditors shall not invalidate the proceeding of meetings, or the result of a postal ballot. 10. CONSTITUTION This constitution may only be amended by motion of an Annual General Meeting as provided in Article 6.B.5.
